Corporate Counsel

Description:

Myriad Genetics is seeking an experienced and highly motivated Corporate Counsel, Commercial to join its dynamic legal team. The selected candidate will serve as a key legal advisor providing comprehensive support on a broad range of commercial and transactional matters. This individual contributor role involves close collaboration with various internal departments, offering proactive and practical legal guidance to support Myriad’s business operations and strategic initiatives.

Key Responsibilities:

• Draft, review, and negotiate a wide variety of commercial contracts, including procurement, supply, marketing, IT, professional engagement, laboratory, and data use agreements.

• Review commercial and customer-facing materials to ensure compliance with company policies, applicable laws, and data privacy regulations.

• Advise business units on commercial and operational issues, providing timely and pragmatic legal solutions to support business goals.

• Collaborate cross-functionally to identify, assess, and mitigate legal risks related to operational practices and strategic projects.

• Maintain and enhance the company’s library of contract templates, clauses, and negotiation guidelines.

• Partner with internal stakeholders and external counsel to manage complex legal issues and provide effective business-oriented advice.

• Provide clear, concise counsel on contract interpretation, risk management, and negotiation positions.

• Participate in special projects, initiatives, and cross-departmental efforts requiring legal input.

Qualifications and Requirements:

• Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.

• At least 5 years of relevant legal experience in a corporate or law firm environment.

• Strong background in commercial and contract law, ideally within healthcare, biotechnology, or life sciences industries.

• Proven ability to analyze complex legal issues, identify risk areas, and provide business-focused legal advice.

• Demonstrated expertise in drafting and negotiating complex commercial agreements independently.

• Knowledge of data privacy laws and regulations, including HIPAA compliance.

• Excellent organizational, analytical, and time management skills.

• Strong interpersonal and communication abilities with a high degree of professionalism and confidentiality.

• Ability to work autonomously while effectively collaborating with multidisciplinary teams.

Physical Requirements:

• Light physical activity involving occasional lifting up to 20 pounds.

• Role involves stationary work, movement, communication, and operation of standard office tools and equipment.
