Description:
The Los Angeles office of BakerHostetler is seeking a senior level Capital Markets & Securities Associate (minimum of 8 years of experience) to join its Business Group. The candidate would work with our regional and national clients as a senior member of the Capital Markets & Securities and Corporate Governance practice team. Beyond handling sophisticated transactional matters, this role offers a unique opportunity to serve as outside counsel for the firm’s public company clients – building trust and deepening the client relationship.
Required Experience/Qualifications Include
- Extensive experience advising public and private companies on complex business transactions, including but not limited to, initial public offerings, equity offerings, convertible debt offerings, and acquisition financings
- Extensive experience counseling companies on general corporate and securities matters, including Exchange Act reporting obligations and corporate governance issues
- Extensive experience structuring and negotiating public stock and debt offerings, tender offers, rights offerings, IPOs, mergers and acquisitions, licensing deals, and other commercial matters
- Proven experience in running deals, such as strategic planning, effective delegation, managing junior and mid-level associates while prioritizing tasks and proactively identifying potential issues
- Strong drafting, analytical, issue-spotting, and problem-solving skills
- Ability to work cross-functionally with internal and external teams, clients, and other stakeholders to navigate deal-specific issues and maintain the highest level of client service
- The professional commitment and interpersonal skills necessary to succeed in a collaborative cross-office team environment
- Admission to practice law in the state where the candidate will reside
