The selected candidate will provide legal expertise across a range of corporate matters, assist in structuring complex deals, and ensure compliance with all corporate governance requirements. This position requires excellent analytical capabilities, contract negotiation skills, and the ability to collaborate effectively with internal and external stakeholders.

Key Responsibilities:
🔹 Draft, review, and negotiate contracts, commercial agreements, and transactional documents
🔹 Provide comprehensive legal support for mergers and acquisitions, including due diligence and deal structuring
🔹 Prepare and review shareholder, operating, and financing agreements
🔹 Advise clients on matters of business formation, corporate restructuring, and governance
🔹 Conduct in-depth legal research and provide strategic legal advice to clients and internal teams
🔹 Identify, assess, and mitigate legal risks in complex corporate transactions
🔹 Maintain a client-centric approach with excellent communication and responsiveness

Qualifications:
✔ Juris Doctor (JD) degree
✔ Admitted to practice law in New York State
✔ Minimum of 2 years of experience in corporate law, with emphasis on transactional work
✔ Proficient in M&A law, corporate governance, contract negotiation, and business entity formation
✔ Strong communication, drafting, and organizational skills
✔ Ability to manage multiple priorities while working both independently and within a collaborative team environment
