Corporate Attorney

Description:

Holland & Hart LLP is seeking a highly skilled Corporate Attorney with 3–5 years of experience in capital markets and securities law to join its thriving and sophisticated securities and corporate practice. This position offers an opportunity to work on high-profile transactions and advise innovative clients while developing hands-on legal expertise in a collaborative environment.

The associate will work on a wide range of matters, including public and private securities offerings, debt and equity transactions, corporate governance, disclosures, and SEC compliance, as well as joint ventures. While the role is primarily focused on capital markets and securities, associates will also contribute to general corporate matters across the practice group.

Key Responsibilities:

• Advise clients on securities and capital markets transactions, including public and private offerings.

• Assist with debt and equity deals, governance matters, and disclosure requirements.

• Draft, review, and negotiate complex corporate agreements and regulatory filings.

• Collaborate with partners, associates, and clients across a broad corporate practice.

• Maintain compliance with SEC regulations and related federal and state securities laws.

Compensation & Expectations:
Holland & Hart offers a merit-based compensation system where performance, contributions, and achievements are recognized. The salary range for Colorado-based attorneys is $200,000 – $217,000 annually, with additional discretionary bonuses and fee-split eligibility.

Associates are expected to invest:

• 1800 hours on billable client work

• 75 hours on pro bono or public service work (or 50 hours of pro bono legal work)

• 25 hours dedicated to diversity, equity, and inclusion initiatives
