Description:
Pillsbury Winthrop Shaw Pittman LLP is seeking a high-performing Associate to join its Executive Compensation & Benefits Practice Group within the Tax Business Unit. This role involves advising public and private employers—including start-ups—on a comprehensive range of executive compensation and employee benefits matters.
Key Responsibilities:
Provide expert guidance on mergers and acquisitions, including Section 280G analysis.
Advise on financings, IPOs, executive hires/terminations, stock compensation plans, award agreements, and nonqualified deferred compensation (Section 409A).
Ensure compliance with ERISA and group benefits regulations and public company reporting/disclosure obligations.
Collaborate with attorneys locally and across the firm to deliver high-quality client service in a fast-paced environment.
Take initiative and demonstrate flexibility, including working extended hours when necessary to meet project deadlines.
Communicate effectively with clients and colleagues, both orally and in writing, regarding sophisticated legal transactions.
Qualifications:
Juris Doctor (JD) or foreign equivalent; an LLM may be considered in lieu of JD.
Prior or current experience at an Am Law 100 firm.
Excellent academic credentials.
Exceptional analytical, research, and legal writing skills.
Strong interpersonal and communication skills.
Thorough understanding of professional ethics and legal conduct codes.
Admission to and good standing with the bar in the jurisdiction(s) where you will practice.
