Contract Commercial Attorney

 

Description:

Our client, a household name and global technology company, is seeking an experienced Contract Commercial Attorney to support its Americas team on a full-time contract basis. This attorney will negotiate and execute complex technology, software, cloud, and enterprise licensing agreements while partnering closely with legal, sales, deal desk, and business stakeholders across North and South America. The ideal candidate brings extensive experience with commercial technology transactions, excellent negotiation skills, strong business judgment, and the ability to thrive in a fast-paced, customer-facing environment. Prior experience in the Fortune100 space is highly preferred. Familiarity with enterprise software licensing and cloud services is necessary, while Spanish and/or Portuguese language skills are a significant plus. This is a 6-month contract with potential to extend to 12 months. Remote within the U.S. with flexible working hours across U.S. time zones.

Responsibilities
 

  • Support negotiation of technology, software, cloud, and enterprise licensing agreements
  • Partner with sales, deal desk, legal, and business teams throughout the transaction lifecycle
  • Review, draft, and negotiate complex commercial agreements with customers across the Americas
  • Provide practical legal guidance while balancing business objectives and legal risk
  • Manage a high volume of concurrent commercial transactions
  • Collaborate with internal stakeholders and external customer counsel
  • Assess contractual risk and recommend commercially sound solutions
  • Support negotiations involving multiple stakeholders across various customer segments
  • Communicate effectively with cross-functional teams in a matrixed organization
  • Remain responsive in a fast-paced, customer-focused environment
     

Qualifications
 

  • Several years of legal experience handling complex commercial transactions
  • Experience negotiating technology, software, cloud, or enterprise licensing agreements
  • Strong commercial judgment and legal risk assessment skills
  • Excellent drafting, negotiation, and communication abilities
  • Ability to manage multiple matters simultaneously
  • Experience working closely with business, legal, and sales organizations
  • Knowledge of Microsoft licensing models or enterprise software licensing is preferred
  • Spanish and/or Portuguese language proficiency is highly desirable
     

Education & Experience
 

  • JD required
  • Licensed to practice law in the United States
  • Several years of law firm and/or in-house transactional experience
  • Experience supporting technology transactions, M&A, business development, or other sophisticated commercial agreements
