Description:
The Counsel, Technology role is a key legal advisor supporting MSG and its affiliates, including Sphere, on a wide range of technology, digital, and commercial initiatives. It provides strategic counsel on IT, software licensing and development, emerging technologies, and data security, privacy, and cybersecurity considerations, ensuring compliance with evolving regulations such as GDPR, CCPA, and CPRA. The position is responsible for negotiating, drafting, and reviewing complex commercial agreements, including SaaS, cloud, telecommunications, and enterprise systems contracts, as well as managing enterprise-wide NDAs and data processing agreements.
The role partners cross-functionally with IT, Procurement, Information Security, and other business units to deliver practical, business-oriented legal guidance, while advising on technology-related policies, terms of use, and contractual rights and obligations.
What will you do?
- Provide legal representation for MSG and its affiliates, including Sphere, in connection with all aspects of its technology efforts, including information technology (IT), software licensing, internet, mobile app development, connectivity, IP ownership, virtual/augmented reality and other digital/technology endeavors.
- Provide support to other areas of MSG Legal Department as needed.
- Negotiate, draft and review various technology and non-technology commercial agreements.
- Examples include transactions for IT services, software licensing and development, mobile app development and support, managed services, cloud-based and hosted platforms, software as a service (SAAS) agreements, peer reviews, domain management, consulting services, payment card software/hardware and systems, telecommunication services, and human resources, marketing and financial software systems and platforms.
- Advise business units on the data security, cyber security and privacy implications of existing and new technologies and/or platforms, including social media, mobile applications, artificial intelligence, cloud and other technology solutions.
- Review and negotiate data processing agreements with vendors enterprise wide, work collaboratively with colleagues on data privacy matters and monitor updates to privacy regulations (e.g., GDPR, CCPA and CPRA).
- Advise business units in the development/review of MSGs websites, WiFi, data protection and classification policies and related terms of use, and technology-related internal company policies.
- Responsible for Sphere and IT Procurement NDAs enterprise-wide.
- Advise about rights and obligations under existing agreements, including analyzing legal options and researching issues of law in order to identify the best strategic option for the business unit.
- Participate in special projects and perform other duties as assigned.
- Devote time and resources to keep current on the law, trends and improving the skills necessary for performance of the job.
- Participate as an effective member of a dynamic, responsive and creative team to provide the highest level of customer service and timely business-oriented legal advice to internal clients, including IT, Procurement, and Information Security, and to other business units (e.g., People Practices, Marketing and Sports) as it relates to technology issues, data security and privacy.
- Provide exceptional experiences for our guests, partners, and team members, including by adhering to our appearance and presentation guidelines while on-site.
What do you need to succeed?
- Law degree and admission to practice law in the State of New York.
- 5+ years of experience in the practice of law.
- Prior in-house experience preferred.
- Excellent contract drafting, interpretation, analysis and negotiation skills.
- Comprehensive analytical skills to identify and prioritize legal issues to be addressed in order to best protect company from various legal risks.
- Flexible and creative thinker.
- Knowledge of technology-related regulations and best practices, commercial law and related areas.
- Demonstrated expertise in independently handling complex contractual and legal matters in the information technology fields.
