Corporate & M&A Associate Attorney
Philadelphia, PA
Key Responsibilities:
- Advise clients on domestic and cross-border mergers and acquisitions
- Draft and negotiate purchase agreements and ancillary transaction documents
- Support private equity, joint venture and strategic investment matters
- Conduct and coordinate legal due diligence
- Advise on corporate governance, restructurings and general corporate matters
- Work directly with clients, opposing counsel and specialist practice groups
- Manage transaction processes and junior team members as appropriate
Qualifications:
- Juris Doctor from an accredited law school
- Active Pennsylvania Bar licence or eligibility to waive in
- 2–7 years of corporate transactional experience
- Strong drafting, negotiation and project-management abilities
- Experience managing competing deadlines in a transactional environment
Experience in M&A, private equity, securities, venture capital or corporate finance will be considered.
